12 THE ACCOMPANYING PROGRAM IS PROVIDED UNDER THE TERMS OF THIS IBM
13 PUBLIC LICENSE ("AGREEMENT"). ANY USE, REPRODUCTION OR DISTRIBUTION OF
14 THE PROGRAM CONSTITUTES RECIPIENT'S ACCEPTANCE OF THIS AGREEMENT.
19 a) in the case of International Business Machines Corporation ("IBM"),
20 the Original Program, and
22 b) in the case of each Contributor,
24 i) changes to the Program, and
26 ii) additions to the Program;
28 where such changes and/or additions to the Program originate from and
29 are distributed by that particular Contributor. A Contribution
30 'originates' from a Contributor if it was added to the Program by
31 such Contributor itself or anyone acting on such Contributor's
32 behalf. Contributions do not include additions to the Program
33 which: (i) are separate modules of software distributed in
34 conjunction with the Program under their own license agreement,
35 and (ii) are not derivative works of the Program.
37 "Contributor" means IBM and any other entity that distributes the
40 "Licensed Patents " mean patent claims licensable by a Contributor
41 which are necessarily infringed by the use or sale of its Contribution
42 alone or when combined with the Program.
44 "Original Program" means the original version of the software
45 accompanying this Agreement as released by IBM, including source code,
46 object code and documentation, if any.
48 "Program" means the Original Program and Contributions.
50 "Recipient" means anyone who receives the Program under this
51 Agreement, including all Contributors.
54 a) Subject to the terms of this Agreement, each Contributor hereby
55 grants Recipient a non-exclusive, worldwide, royalty-free
56 copyright license to reproduce, prepare derivative works of,
57 publicly display, publicly perform, distribute and sublicense the
58 Contribution of such Contributor, if any, and such derivative
59 works, in source code and object code form.
61 b) Subject to the terms of this Agreement, each Contributor hereby
62 grants Recipient a non-exclusive, worldwide, royalty-free patent
63 license under Licensed Patents to make, use, sell, offer to sell,
64 import and otherwise transfer the Contribution of such
65 Contributor, if any, in source code and object code form. This
66 patent license shall apply to the combination of the Contribution
67 and the Program if, at the time the Contribution is added by the
68 Contributor, such addition of the Contribution causes such
69 combination to be covered by the Licensed Patents. The patent
70 license shall not apply to any other combinations which include
71 the Contribution. No hardware per se is licensed hereunder.
73 c) Recipient understands that although each Contributor grants the
74 licenses to its Contributions set forth herein, no assurances are
75 provided by any Contributor that the Program does not infringe the
76 patent or other intellectual property rights of any other entity.
77 Each Contributor disclaims any liability to Recipient for claims
78 brought by any other entity based on infringement of intellectual
79 property rights or otherwise. As a condition to exercising the
80 rights and licenses granted hereunder, each Recipient hereby
81 assumes sole responsibility to secure any other intellectual
82 property rights needed, if any. For example, if a third party
83 patent license is required to allow Recipient to distribute the
84 Program, it is Recipient's responsibility to acquire that license
85 before distributing the Program.
87 d) Each Contributor represents that to its knowledge it has sufficient
88 copyright rights in its Contribution, if any, to grant the
89 copyright license set forth in this Agreement.
93 A Contributor may choose to distribute the Program in object code form
94 under its own license agreement, provided that:
95 a) it complies with the terms and conditions of this Agreement; and
97 b) its license agreement:
99 i) effectively disclaims on behalf of all Contributors all warranties
100 and conditions, express and implied, including warranties or
101 conditions of title and non-infringement, and implied warranties
102 or conditions of merchantability and fitness for a particular
105 ii) effectively excludes on behalf of all Contributors all liability
106 for damages, including direct, indirect, special, incidental and
107 consequential damages, such as lost profits;
109 iii) states that any provisions which differ from this Agreement are
110 offered by that Contributor alone and not by any other party; and
112 iv) states that source code for the Program is available from such
113 Contributor, and informs licensees how to obtain it in a
114 reasonable manner on or through a medium customarily used for

118 a) it must be made available under this Agreement; and
120 b) a copy of this Agreement must be included with each copy of the

129 In addition, each Contributor must identify itself as the originator
130 of its Contribution, if any, in a manner that reasonably allows
131 subsequent Recipients to identify the originator of the Contribution.
133 4. COMMERCIAL DISTRIBUTION
135 Commercial distributors of software may accept certain
136 responsibilities with respect to end users, business partners and the
137 like. While this license is intended to facilitate the commercial use
138 of the Program, the Contributor who includes the Program in a
139 commercial product offering should do so in a manner which does not
140 create potential liability for other Contributors. Therefore, if a
141 Contributor includes the Program in a commercial product offering,
142 such Contributor ("Commercial Contributor") hereby agrees to defend
143 and indemnify every other Contributor ("Indemnified Contributor")
144 against any losses, damages and costs (collectively "Losses") arising
145 from claims, lawsuits and other legal actions brought by a third party
146 against the Indemnified Contributor to the extent caused by the acts
147 or omissions of such Commercial Contributor in connection with its
148 distribution of the Program in a commercial product offering. The
149 obligations in this section do not apply to any claims or Losses
150 relating to any actual or alleged intellectual property infringement.
151 In order to qualify, an Indemnified Contributor must: a) promptly
152 notify the Commercial Contributor in writing of such claim, and b)
153 allow the Commercial Contributor to control, and cooperate with the
154 Commercial Contributor in, the defense and any related settlement
155 negotiations. The Indemnified Contributor may participate in any such
156 claim at its own expense.
158 For example, a Contributor might include the Program in a commercial
159 product offering, Product X. That Contributor is then a Commercial
160 Contributor. If that Commercial Contributor then makes performance
161 claims, or offers warranties related to Product X, those performance
162 claims and warranties are such Commercial Contributor's responsibility
163 alone. Under this section, the Commercial Contributor would have to
164 defend claims against the other Contributors related to those
165 performance claims and warranties, and if a court requires any other
166 Contributor to pay any damages as a result, the Commercial Contributor
167 must pay those damages.
171 EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS
172 PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY
173 KIND, EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY
174 WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY
175 OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely
176 responsible for determining the appropriateness of using and
177 distributing the Program and assumes all risks associated with its
178 exercise of rights under this Agreement, including but not limited to
179 the risks and costs of program errors, compliance with applicable
180 laws, damage to or loss of data, programs or equipment, and
181 unavailability or interruption of operations.
183 6. DISCLAIMER OF LIABILITY
185 EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER RECIPIENT NOR
186 ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR ANY DIRECT, INDIRECT,
187 INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING
188 WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY OF
189 LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING
190 NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR
191 DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED
192 HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
196 If any provision of this Agreement is invalid or unenforceable under
197 applicable law, it shall not affect the validity or enforceability of
198 the remainder of the terms of this Agreement, and without further
199 action by the parties hereto, such provision shall be reformed to the
200 minimum extent necessary to make such provision valid and enforceable.
202 If Recipient institutes patent litigation against a Contributor with
203 respect to a patent applicable to software (including a cross-claim or
204 counterclaim in a lawsuit), then any patent licenses granted by that
205 Contributor to such Recipient under this Agreement shall terminate as
206 of the date such litigation is filed. In addition, If Recipient
207 institutes patent litigation against any entity (including a
208 cross-claim or counterclaim in a lawsuit) alleging that the Program
209 itself (excluding combinations of the Program with other software or
210 hardware) infringes such Recipient's patent(s), then such Recipient's
211 rights granted under Section 2(b) shall terminate as of the date such
214 All Recipient's rights under this Agreement shall terminate if it
215 fails to comply with any of the material terms or conditions of this
216 Agreement and does not cure such failure in a reasonable period of
217 time after becoming aware of such noncompliance. If all Recipient's
218 rights under this Agreement terminate, Recipient agrees to cease use
219 and distribution of the Program as soon as reasonably practicable.
220 However, Recipient's obligations under this Agreement and any licenses
221 granted by Recipient relating to the Program shall continue and
224 IBM may publish new versions (including revisions) of this Agreement
225 from time to time. Each new version of the Agreement will be given a
226 distinguishing version number. The Program (including Contributions)
227 may always be distributed subject to the version of the Agreement
228 under which it was received. In addition, after a new version of the
229 Agreement is published, Contributor may elect to distribute the
230 Program (including its Contributions) under the new version. No one
231 other than IBM has the right to modify this Agreement. Except as
232 expressly stated in Sections 2(a) and 2(b) above, Recipient receives
233 no rights or licenses to the intellectual property of any Contributor
234 under this Agreement, whether expressly, by implication, estoppel or
235 otherwise. All rights in the Program not expressly granted under this
236 Agreement are reserved.
238 This Agreement is governed by the laws of the State of New York and
239 the intellectual property laws of the United States of America. No
240 party to this Agreement will bring a legal action under this Agreement
241 more than one year after the cause of action arose. Each party waives
242 its rights to a jury trial in any resulting litigation.
